ArmInfo. Banks and insurance companies will receive the right to conduct general meetings of shareholders remotely. The National Assembly of the Republic of Armenia, at its meeting on March 31 in the second and final reading, amended the laws "On Joint Stock Companies", "On Banks and Banking Activities", "On Insurance and Insurance Activities".
According to Deputy Minister of Economy of the Republic of Armenia Avag Avanesyan, the package provides for the establishment of the possibility for holding general meetings of shareholders remotely. In the near future, the minister stressed, meetings of shareholders should be held, and there is a need to protect people from possible risks. Current legislation does not allow meetings to be held remotely. As amended, shareholders will receive the right to participate and vote at meetings through postal, telephone, electronic communications, as well as by sending telegrams. This provision will be valid until November 1 of this year, since the charters of JSCs, banks and insurance companies do not allow holding meetings remotely.
To amend the charters, and then hold meetings in the current conditions, the government considered it a risky occupation. For this reason, these entities will be able to hold meetings without taking into account the requirements of the charters.
